1) Who we are and what this agreement covers

These Terms & Conditions ("Terms") govern your access to and use of the Infection Control IQ website, application(s), and services (collectively, the "Service") provided by Infection control IQ, a federal Canadian company located in Ontario with a principal place of business at 34 Steepelview Cres, Richmond Hill, Ontario, L4C9R3 ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2) What the Service does (scope)

The Service indexes and searches public, authoritative infection prevention and control (IPAC) guidance (e.g., provincial agencies, federal public health authorities, regulatory colleges, and sector regulators) and returns short answers with citations to the source clause(s). The Service may include tools to export checklists, policies, and change‑tracking.

  • Not medical/legal advice. The Service provides guideline‑informed recommendations for policy, training, and operational reference only. It does not provide medical, clinical, diagnostic, therapeutic, or legal advice, and is not a substitute for professional judgment, local authority directives, or statutory obligations.
  • Not a medical device. The Service does not perform patient‑specific clinical decision‑making or autonomous actions.
  • No PHI/sensitive data. The Service does not require protected health information (PHI) or other sensitive personal information. Do not submit PHI or other sensitive data into prompts or uploads.

3) Accounts; authorized users

You may need an account to use parts of the Service. You are responsible for: (i) accurate registration information; (ii) maintaining account and credential confidentiality; and (iii) all activity under your account. Notify us immediately of any unauthorized use.

4) Acceptable use

You agree not to:

  • use the Service for unlawful purposes or to infringe rights of others;
  • input PHI or other sensitive data (e.g., health card numbers, biometrics, financial account numbers);
  • attempt to reverse engineer, circumvent security, or access non‑public areas;
  • automate scraping or bulk download of content or citations;
  • misrepresent outputs as authoritative mandates without verifying with cited sources and your local authority;
  • upload content that is malicious, defamatory, or infringes IP or privacy rights.

We may suspend or terminate access for violations.

5) Content and intellectual property

Our IP. The Service, including software, UI/UX, databases, and branding, is owned by us or our licensors and is protected by IP laws. Subject to these Terms, we grant you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Service for internal business purposes.

Third‑party sources. The Service surfaces short excerpts, citations, and links to third‑party public sources (e.g., provincial/federal guidance). Those sources remain the property of their owners and may be subject to separate terms. We do not claim ownership of third‑party documents and provide links for verification and fair dealing/research purposes.

Feedback. If you provide suggestions or feedback, you grant us a royalty‑free, perpetual license to use them without restriction.

6) Beta features

We may offer beta or preview features. They are provided as‑is, may change, and may be discontinued at any time.

7) Service changes; availability

We may modify, suspend, or discontinue the Service or features at any time. We aim for high availability but do not guarantee uninterrupted or error‑free operation. Upstream content owners may update or remove documents, which can affect search results.

8) Subscriptions, trials, and payments (if applicable)

Plans, limits, fees, and billing cycles are described at checkout or in an order form. Fees are non‑refundable except as required by law or stated otherwise. Taxes may apply. Trials are time‑limited; upon expiration, a paid subscription is required for continued access.

9) Confidentiality

Each party may receive non‑public information from the other ("Confidential Information"). Each will: (i) use it only to perform under these Terms; (ii) protect it with reasonable safeguards; and (iii) not disclose it except to personnel and service providers who need to know and are bound by confidentiality.

10) Privacy

Our Privacy Policy explains how we collect and use personal information. By using the Service, you consent to our privacy practices described there.

11) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON‑INFRINGEMENT. YOU ARE SOLELY RESPONSIBLE FOR YOUR RELIANCE ON OUTPUTS, INCLUDING ANY COMPLIANCE ACTIONS.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/GOODWILL; (B) EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR CAD $100 IF YOU HAVE NOT PAID ANY AMOUNTS). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY. Nothing excludes liability that cannot be excluded under applicable law.

13) Indemnity

You will defend and indemnify us from and against claims, losses, and expenses (including reasonable legal fees) arising from your: (i) misuse of the Service; (ii) violation of these Terms; (iii) infringement or violation of others' rights; or (iv) submission of prohibited data (including PHI or sensitive data).

14) Third‑party services

If the Service integrates with a third‑party tool (e.g., analytics, cloud hosting, generative AI infrastructure), your use of that tool may be subject to its own terms. We are not responsible for third‑party services.

15) Term; termination

These Terms remain in effect while you use the Service. Either party may terminate for material breach not cured within 30 days after written notice. Upon termination, your right to access the Service ends and you must cease use. Sections that by their nature should survive (e.g., IP, confidentiality, disclaimers, limitations, indemnity, governing law) will survive.

16) Governing law; venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts‑of‑law rules. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario.

17) Export; sanctions

You must comply with applicable export control and economic sanctions laws and may not use the Service if you are subject to any government‑issued sanctions.

18) Changes to these Terms

We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date. Your continued use after changes constitutes acceptance.

19) General

These Terms are the entire agreement and supersede prior agreements about the Service. If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale. No waiver is effective unless in writing.
